Marlborough doesn’t send reminders.
Every city has deadlines. Marlborough has a few that catch owners off guard, because nothing shows up to warn you.
March 1st — your equipment.
Marlborough taxes business equipment at the commercial rate: $18.43 per thousand, up from $16.96. You declare what you own on a Form of List due March 1st. Miss it and the assessors can audit your books and tax equipment you never declared.

Your business certificate expires after four years.
The city's own application says it in plain English: there are no reminders to renew. Four years is long enough to forget. Operating without one carries a fine of up to $300 a month.

December 31st — every food permit in the city.
Food service, catering, trucks, retail — same expiration date. Renew late and it's $5 a day for two weeks, then an administrative hearing. And Marlborough's meals tax has been 7% since 2014, not 6.25%. If your register still says 6.25, you've been covering the difference out of pocket on every check you ring up.

And the one nobody mentions.
Marlborough runs a business loan fund with local banks. To apply, they ask for an interim financial statement dated within 90 days — alongside two years of business returns. Most owners can’t produce one on demand, so they never apply.

Three that follow the owner, not the business
The four above are Marlborough's. These three are the state's — same in every town, and two of them land on you rather than on the company.
Final pay is due the day you let someone go.
Not the next payroll run — that day. In 2022 the Supreme Judicial Court settled what happens when it is late: three times the wages, plus interest and the employee's legal fees. Paying up before anyone sues is not a defence. Neither is an honest mistake. One day late is late, and accrued vacation counts as wages.

To treat someone as a contractor you have to satisfy all three prongs of the state test, and the second one catches the trades: the work has to fall outside the usual course of your business. A builder paying framers on a 1099 fails it. A cleaning company paying cleaners that way fails it. A signed agreement changes nothing — what counts is how the work actually runs.

Every year, on the anniversary of the day the company was formed. $500 by post, $520 online. There is no late fee, and that is the trap: nothing bills you and nothing chases you, so two years can pass without a single letter. After two consecutive missed years the Commonwealth can dissolve the company administratively. Bringing it back costs $100 plus every report you skipped.
